Responsibilities

  • Responsible for managing a small team in Manila. 
  • Conducts performance management and career development processes, and staffing  
  • Identifies training and development needs and establishes performance standards. 
  • Makes staffing decisions and ensures resources are available to accomplish priorities. 
  • Provides additional leadership support within large specialized groups. 
  • Responsible for the running of CoSec function to ensure clients needs and company's policies and procedures are met.
  • Manages certain statutory filings of a portfolio of Luxembourg (and other jurisdictions) listed and unlisted entities, with oversight from Luxembourg
  • Oversees review of collated Board packs for final review by Luxembourg
  • Checks and prioritizes work plan  and work loads as well as assesses future needs.  
  • Reports current operations and future needs to the Department Head
  • Assists with the review and implementation of existing and new laws and regulations in all relevant jurisdictions 
  • Provides corporate secretarial advice to other departments
  • May provide informal training to other departments  
  • Maintains & reviews Viewpoint (electronic corporate records) 
  • Ensures the accurate maintenance of all Corporate Secretarial items scanned on the system
  • Stock exchange announcements
  • Oversees production of reports from Viewpoint when required 
  • Provides accurate corporate secretarial figures to department head for monthly reporting
  • Ensures monthly directorship lists are made available to all other departments in a timely manner
  • Ensures Director Fees report is provided to financial control on a monthly basis 
  • Develops periodic goals, organizes the work, sets short-term priorities, monitors all activities, and ensures timely and accurate completion of the work. 
  • Provides input and support to budget management process.
  • Manages and mitigates risk, within the day to day activities and escalate as appropriate
  • Liaises with internal and external parties as needed (i.e. client, regulators, tax offices, client relationship delivery managers, operational teams etc.)

 


Knowledge, Skills and Experience

  • A College or University degree and/or relevant proven work experience of at least 8 years is required / preferred 
  • Related Industry qualification would be ideal to have
  • Knowledge of Diligent Boardbooks or any other board packaging software would be an advantage
  • Experience in corporate secretarial services (working knowledge / exposure to Philippine Business Registry and the SEC)
  • Exposure to client facing situations would be an advantage
  • Any experience attending board meetings and taking minutes would be an advantage
  • Attention to detail and accuracy
  • Organisational skills with the ability to prioritize and escalate potential risks
  • Excellent oral and written communication skills are required 
  • In-dept Functional / Industry Knowledge is required 
  • Analytical and problem solving skills are required 
  • Leadership and organizational skills are required to develop periodic goals and to manage and motivate team members towards the goals set.
